Introduction
The Memorandum of Association is one of two legal documents that are required to form a Limited Company by Guarantee. The document generally defines the following points:
- the company's name;
- the address of the registered office;
- a statement of limited liability on the members;
- a statement of the profit or dividend allocated to members;
- the names and addresses of the subscribers;
- the objects of the company (what it will do).
