Introduction

The Memorandum of Association is one of two legal documents that are required to form a Limited Company by Guarantee.  The document generally defines the following points:

• the company's name;
• the address of the registered office;
• a statement of limited liability on the members;
• a statement of the profit or dividend allocated to members;
• the names and addresses of the subscribers;
• the objects of the company (what it will do).
