Clause 50: Provisions for Indemnity
Every member of the Board, Auditor, Secretary and other officer for the time being of the Authority shall be indemnified out of the assets of the Authority against any liability incurred by such a person in that capacity:
- for the costs and expenses of defending civil or criminal proceedings in which judgment is given in the person's favour or in which the person is acquitted;
- for costs and expenses in connection with an application, in relation to such civil or criminal proceedings, in which relief is granted to the person by the relevant Court under the Corporations Act; or
- to another person other than the Authority unless the liability arises out of conduct involving a lack of good faith.
Provided however, that the indemnity provided by this Article does not apply to the extent that the Authority cannot indemnify the officer at law.
